At Synergetic Web Group, many projects are completed on a white-label basis, meaning our clients trust us to manage all communication, relationships, and public attribution.

This agreement exists to:

Protect client relationships
Maintain clear boundaries and expectations
Ensure confidentiality and ownership of work
Prevent accidental conflicts or misunderstandings

Signing this agreement allows us to work together smoothly and transparently. It does not limit your ability to work with your own clients or build your own business — it simply ensures that projects completed through Synergetic Web Group remain private and properly managed.

Synergetic Web Group – Subcontractor Agreement

This agreement applies to all subcontractors performing work on projects through Synergetic Web Group.

1. Scope of Engagement

The Subcontractor may be engaged to perform services including WordPress development, Shopify development, website maintenance, troubleshooting, and general web development services.
This agreement governs all work performed for Synergetic Web Group unless otherwise authorized in writing.

2. Confidentiality and Non-Disclosure (NDA)

The Subcontractor acknowledges that they may receive access to Confidential Information belonging to Company and its clients. Confidential Information includes, but is not limited to:

Client names and identities
Login credentials and access details
Pricing, proposals, scopes, and internal communications
Website code, content, business data, and strategy

The Subcontractor agrees to keep all such information strictly confidential.
Confidential Information may only be used for the purpose of performing assigned services for Synergetic Web Group.
These obligations continue even after the subcontractor relationship ends.

3. Non-Solicitation of Clients

During the term of engagement and for twenty-four (24) months thereafter, the Subcontractor may not directly or indirectly contact, solicit, market to, or accept work from any Synergetic Web Group client outside of Company authorization.
All client communication must remain exclusively through Synergetic Web Group.
This restriction applies worldwide and includes any attempt to bypass Company for direct client relationships.

4. Portfolio, Credit & Public Attribution Prohibition

All projects completed through Synergetic Web Group are white-label and confidential.
The Subcontractor is under a TOTAL PROHIBITION from using, referencing, or displaying Synergetic Web Group projects in any public forum.
This includes personal websites, portfolios, Upwork profiles, case studies, social media, or any other marketing materials.
No screenshots, URLs, code samples, or project descriptions may be shared.
No authorship or credit claims are permitted.
No exceptions are allowed unless prior written permission is provided by Synergetic Web Group.

5. Work-for-Hire and Ownership

All work product, deliverables, code, designs, content, and materials created in connection with Services are considered WORK-FOR-HIRE.
All such materials are the exclusive property of Synergetic Web Group.
The Subcontractor retains no ownership or reuse rights to any project work.
The Subcontractor assigns all rights, title, and interest in any deliverables to Company.

6. Consequences of Breach

A violation of this agreement would cause serious and irreparable harm to Company.
Company is entitled to seek immediate injunctive relief to stop the breach.
Company may recover legal fees, costs, and any remedies available under California law.

7. Independent Contractor Status

The Subcontractor is an independent contractor and not an employee, partner, or agent of Company.
The Subcontractor has no authority to represent Synergetic Web Group to any client or third party.

8. Electronic Signature Consent

The Subcontractor agrees that electronic acceptance and signature of this agreement is legally binding and enforceable.
Submitting this form constitutes formal execution of the Agreement.

9. Governing Law

This agreement is governed exclusively by the laws of the State of California.
All disputes must be resolved in California venue and jurisdiction.

10. Entire Understanding

This agreement represents the entire understanding between Company and Subcontractor.
Any modifications must be provided in writing by Synergetic Web Group.
